1. Acceptance of Terms

By accessing, registering, or using the VYPNEX CommerceOS platform (accessible via vypnex.com, associated subdomains, API webhooks, and mobile responsive portals), you agree to be bound by these Terms and Conditions, our Privacy Policy, and all applicable Indian statutory laws (including the Information Technology Act 2000, Goods and Services Tax Rules, and RBI Guidelines for Lending & Digital Financial Operations).

2. Business Identity & Verification

To maintain trust across the 4-tier supply chain ecosystem (Manufacturers, Distributors/Wholesalers, Retailers, and Consumers), all registering business entities must provide accurate and verifiable statutory details (including legal trade name, registered address, and GSTIN/PAN where applicable). VYPNEX reserves the right to suspend or restrict unverified or fraudulent accounts.

3. Authoritative Billing & Controlled Document Sharing

Invoices generated on VYPNEX represent authoritative single-truth records synchronized between sellers and buyers. While VYPNEX provides role-based masking (such as masking commercial rates on Transporter and Warehouse copies), the legal liability for the underlying accuracy of line items, tax classifications, and commercial trade terms rests solely with the transacting business parties.

4. Supply Chain Financing (SCF) & Goods/Money Separation

Supply chain invoice financing and early supplier disbursements are facilitated exclusively by institutional, RBI-regulated Finance Partners and NBFCs.

• Financing is subject to explicit, immutable buyer consent and underwriting evaluation.
• Sellers receive non-recourse or recourse disbursements per approved lender agreements.
• In compliance with banking privacy regulations, the buyer's credit score, bureau reports, and internal underwriting metrics remain strictly confidential between the buyer and the finance partner and will not be disclosed to the seller.

5. 15-Day Free Trial & Subscription Plans

New business registrations receive a 15-Day Free Trial of the Starter tier (1 user, 5 products, 1 warehouse, 10 billings). Following the 15-day trial period, continuing access requires selecting an active paid subscription tier (SMART, Growth, PRO, or Elite/Enterprise) or the flexible Location-Based Plan. Subscriptions are billed on a monthly or yearly recurring basis as chosen by the account administrator.

6. Affiliate & Referral Program

Affiliates earn 20% recurring lifetime commissions on paid subscriptions initiated through their valid referral links. Self-referrals, spam promotions, and fraudulent click manipulation are strictly prohibited and will result in immediate forfeiture of accrued commissions and account termination.

7. Limitation of Liability & Data Security

VYPNEX employs enterprise-grade cryptographic security, CSRF protection, and multi-tenant database isolation. In no event shall VYPNEX, its founders, or technology partners be held liable for indirect, incidental, or consequential business damages resulting from network connectivity outages or third-party banking downtime.
