1. Acceptance & Eligibility
These Terms & Conditions ("Terms", "Agreement") constitute a legally binding electronic agreement between VYPNEX.com ("VYPNEX", "Platform", "We", "Us") and any individual or commercial entity ("User", "You", "Merchant", "Subscriber") who accesses, registers on, or utilizes our software, services, or website.
Eligibility: You represent and warrant that:
- You are at least 18 years of age and competent to enter into a legally enforceable contract under the Indian Contract Act, 1872.
- You represent a legitimate commercial business enterprise, sole proprietorship, partnership, LLP, or registered corporate entity.
- You possess the authoritative legal power to bind your business organization to these Terms.
- All registration details, trade names, mobile numbers, and GST/PAN credentials provided by you are authentic, valid, and up to date.
2. User Roles & Permitted Scope
VYPNEX supports distinct operational personas tailored to specific business distribution roles:
Business – Individual
Independent retailers, traders, and small business owners using billing, local inventory, khata ledger, and point-of-sale functionality.
Business – Network
Manufacturers, primary distributors, and wholesalers connecting with supply chain partners, locking trade deals, and establishing commercial territories.
Affiliate Partner
Registered marketing affiliates introducing verified merchants to the platform and earning performance commissions based on published rules.
Finance Partner
Institutional lenders and fintech partners providing supply chain finance, subject to separate verification and regulatory compliance.
Broker / Mediator
Commercial facilitators connecting high-volume buyers and sellers across regional Mandis and wholesale distribution networks.
Casual User
Prospective businesses exploring platform features, public catalogues, or utilizing the Free Invoice Generator.
3. Individual Mode Terms & ERP Entitlements
Individual Mode provides cloud-hosted business operations software. Features include point-of-sale billing, party khata management, item catalogue creation, inventory stock tracking, and business reporting.
- Free Forever Entitlement: In accordance with our published plan rules, every registered business in Individual Mode receives a Free Forever Plan entitlement permitting up to 15 finalized sales bills per calendar month at ₹0 cost, renewing automatically every month.
- Paid Upgrades: Users requiring unlimited billing, multi-user access, multiple warehouse locations, or advanced analytics may upgrade to applicable paid subscription plans.
- Accuracy of Records: You are solely responsible for ensuring that all tax rates, HSN codes, product rates, and customer details entered into your bills comply with applicable tax laws.
4. Network Mode & Trading Relationships
Network Mode facilitates commercial collaboration among manufacturers, distributors, wholesalers, and verified retail partners. Key platform functions include:
- Partner Discovery & Invitations: Verified businesses can invite existing commercial partners or discover potential trade relationships based on transparent business profiles.
- Product Quotations & Lock Deal: Buyers and sellers can negotiate terms, request quotations, and execute a "Lock Deal" action. The Lock Deal action records the mutually agreed commercial terms (rates, credit limits, payment terms, and territory) as an operational snapshot.
- Commercial Terms & Territory: Territorial rights assigned to partners (State, District, or City wise) are commercial agreements established between the contracting trading parties.
5. VYPNEX Platform Intermediary Role
Statutory Intermediary Notice: VYPNEX operates strictly as an intermediary technology platform under Section 79 of the Information Technology Act, 2000.
- VYPNEX is not a buyer, seller, manufacturer, distributor, broker, or guarantor of any physical goods listed, sold, or invoiced through the software.
- All contracts of sale, physical product delivery, warranties, pricing commitments, and payment obligations are entered into directly between the respective trading parties.
- VYPNEX does not take title to, inspect, warehouse, or handle physical custody of traded agricultural produce, consumer goods, or industrial products.
6. User Responsibilities & Lawful Use
As a subscriber or registered user of VYPNEX, you agree to:
- Provide genuine, accurate, and lawful business information, including valid GSTIN and PAN details where applicable.
- Comply with all statutory Indian laws, including the Central Goods and Services Tax Act, 2017, Consumer Protection Act, 2019, and Agricultural Produce Market Committee (APMC) regulations where applicable.
- Maintain the absolute confidentiality of your account credentials, passwords, and OTP verification codes.
- Notify VYPNEX immediately at vypnexsupport@gmail.com in the event of any unauthorized access or security breach.
7. Prohibited Conduct & Platform Abuses
The following activities are strictly prohibited on VYPNEX. Engaging in any of these will result in immediate account suspension, cancellation of subscription without refund, and potential legal prosecution:
- Fake Payment Proofs: Uploading fabricated, edited, or forged payment screenshots or providing counterfeit UTR / Transaction IDs for subscription activation.
- Impersonation & Fraud: Creating accounts under forged business identities or misrepresenting legal authorization to act on behalf of a company.
- Illegal or Hazardous Goods: Listing, quoting, or invoicing contraband, narcotics, weapons, unauthorized financial instruments, or goods prohibited under Indian law.
- Automated Scraping & Data Mining: Using web crawlers, bots, or automated scrapers to harvest contact details, catalogues, or pricing data from the platform.
- Platform Bypassing: Circumventing software subscription limits, billing quotas, or digital security controls.
- Malicious Code: Uploading viruses, trojans, worms, or any code designed to disrupt, compromise, or overload platform servers.
8. Intellectual Property & License
All software, platform source code, user interface designs, logos, trademarks, database architectures, graphics, and proprietary workflows of VYPNEX are the exclusive intellectual property of VYPNEX.com and protected by Indian copyright, trademark, and intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the software in accordance with your active subscription tier. You may not reverse-engineer, decompile, duplicate, or white-label the software without prior written consent.
9. Disclaimer of Warranties & Limitation of Liability
The platform is provided on an "as is" and "as available" basis. VYPNEX expressly disclaims all warranties of any kind, whether express or implied, including merchantability, fitness for a particular commercial purpose, or uninterrupted software availability.
To the maximum extent permitted by applicable Indian law, VYPNEX, its founders, directors, and employees shall not be liable for any indirect, incidental, punitive, or consequential damages, loss of business profits, trade disputes between partners, commercial credit defaults, or data loss arising out of your use or inability to use the platform. In any event, the total aggregate liability of VYPNEX under these Terms shall not exceed the actual subscription fee paid by you to VYPNEX in the three (3) months preceding the claim.
10. Governing Law, Arbitration & Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India.
- Amicable Resolution: Any dispute, claim, or controversy arising out of or relating to these Terms shall first be attempted to be resolved amicably through mutual consultation within 30 days of written notice.
- Arbitration: If unresolved amicably, the dispute shall be referred to and finally resolved by arbitration conducted in English under the provisions of the Arbitration and Conciliation Act, 1996 by a sole arbitrator mutually appointed by the parties. The seat and venue of arbitration shall be in Haryana, India.
- Jurisdiction: Subject to the arbitration clause, the courts having jurisdiction in Haryana, India shall have exclusive jurisdiction over all matters arising out of this Agreement.
